This agreement applies to the free tier, the trial and the Pro license from the moment you download, install or use Pengumi Studio. When Pro goes on sale, payment and withdrawal terms will be set out separately in the Pre-contract Information and Distance Sales Agreement. The Turkish version prevails in case of conflict.
1. Parties
- Licensor: Pengumi Studio, pengumibilisim@gmail.com ("Licensor").
- Licensee: the person or company that installs or buys Pengumi Studio ("User").
2. License
- The Licensor grants the User a non-transferable, non-exclusive right to install and use Pengumi Studio within the purchased license type. The software is licensed, not sold.
- The User may use the software in commercial projects; rights in the videos, captions and other output the User creates with it belong to the User.
2a. Plans
- Free tier: AutoCut and Captions, 5 analyses a month. Trial: once per computer, 7 days, 2 hours of active use a day, all tools. Pro: all tools for the purchased period, up to 30 days offline.
- A Pro license is active on one computer; contact us to move it.
- License status is checked online (see the Privacy Notice). Attempts to get around trial or free-tier limits breach this agreement.
3. Restrictions
- Renting, sublicensing, reselling the software or circumventing license checks is not allowed.
- Except where mandatory law permits it (such as decompilation needed for interoperability), reverse engineering, decompiling and modifying the software is not allowed.
- Open-source components remain under their own licenses (see Third-party licenses); this agreement does not restrict the rights those licenses give you.
4. Local processing and data
- The software processes audio and video on your own computer; your content is not sent to the Licensor. The update check, license checks and setup downloads are described in the Privacy Notice.
5. Updates
- Updates are signed and install only with your approval. The update period for each license type will be stated in the sales terms.
6. Warranty and liability
- The software is provided with the essential features it is presented with. Tools marked "Beta" are not fully verified yet.
- The software changes your Premiere project. By default a backup of the sequence is made before each operation; you should still keep your own backups of important projects.
- Except for intent, gross negligence and liability under mandatory law (in particular Turkey's Consumer Protection Law No. 6502 and the mandatory consumer law of your country), the Licensor's liability is limited to the price the User paid for the license; indirect damages (lost profit, lost data, business interruption) are excluded.
7. Termination
- If the User breaches this agreement, the license may end by written notice. On termination the software must be removed.
8. Governing law
- Turkish law applies; for consumer matters, Consumer Arbitration Committees and Consumer Courts are competent.
